1. Services

PNE Solutions provides digital marketing, web design, AI growth systems, sales automation, and related consulting services. The scope, deliverables, timeline, and fees for any specific engagement are outlined in a separate Statement of Work or Service Agreement signed by both parties.

We reserve the right to modify, suspend, or discontinue any service or feature of the Website at any time without notice.

2. Eligibility

You must be at least 18 years of age and have the authority to enter into a binding contract on behalf of yourself or the company you represent. By using the Website or our services, you represent that you meet these requirements.

3. Intellectual Property

All content on this Website: including but not limited to text, graphics, logos, icons, images, audio clips, and software: is the property of PNE Solutions or its content suppliers and is protected by Canadian and international copyright laws.

You may not reproduce, distribute, modify, create derivative works, publicly display, or commercially exploit any content from this Website without our express prior written consent.

4. Payment Terms

Unless otherwise agreed in a Service Agreement:

• A non-refundable deposit (typically 50%) is required before project commencement.
• The remaining balance is due upon project completion and prior to final delivery.
• Invoices not paid within 30 days are subject to a 1.5% monthly interest charge.
• All fees are quoted and billed in Canadian Dollars (CAD) unless otherwise specified.

5. Cancellation & Refunds

• If you cancel a project after work has commenced, you are responsible for payment of all work completed to date, plus the non-refundable deposit.
• Retainer and subscription services may be cancelled with 30 days' written notice. No refund is issued for the current billing period.
• We reserve the right to terminate an engagement if payment obligations are not met, or if a client engages in abusive, fraudulent, or unlawful conduct.

6. Client Responsibilities

You agree to:

• Provide accurate information needed for project delivery in a timely manner.
• Review and provide feedback within agreed timelines.
• Ensure that any content, assets, or materials you supply do not infringe any third-party rights.
• Indemnify and hold PNE Solutions harmless from any claims arising from your supplied materials.

7. Disclaimer of Warranties

The Website and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

PNE Solutions does not warrant that the Website will be uninterrupted or error-free, nor that any specific results (e.g. revenue growth, lead volume, search rankings) will be achieved from our services. Digital marketing outcomes depend on many factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, PNE Solutions and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Website or our services.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to PNE Solutions in the three (3) months preceding the claim.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. 10. Anti-Spam (CASL)

We comply with Canada's Anti-Spam Legislation (CASL). We will only send commercial electronic messages (CEMs) to individuals who have provided express or implied consent. 11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or the use of our services shall first be addressed through good-faith negotiation. Failing resolution, disputes will be submitted to the exclusive jurisdiction of the courts of Quebec.

We may update these Terms at any time by posting a revised version on this page with an updated "Last updated" date. Continued use of the Website or services after such changes constitutes your acceptance of the new Terms. It is your responsibility to check this page periodically.
